Terms version: 2.1 — Concise Complete Membership Terms


1. Agreement

By accessing BMRVirtualConsulting.com, creating an account, starting a consultation, or purchasing a service, you agree to these Terms of Service. If you do not agree, do not use the service.


2. Services and professional limits

BMR Executive Business Consulting provides business education, strategic consultation, research assistance, planning tools, virtual AI consultation, specialist-agent experiences, and separately authorized implementation support. Marcus and other virtual agents use artificial-intelligence technology. Their responses may contain errors and must be reviewed before you act on them.


BMR distinguishes consultation from implementation. Consultation includes analysis, education, recommendations, plans, and deliverables expressly listed with the purchased service. Implementation means carrying out work, accessing an account, publishing content, purchasing media or software, filing documents, contacting another person, or taking another action for the client. Implementation is included only when the checkout or a separate written scope expressly says so.


Unless a separate written agreement expressly states otherwise, BMR does not provide legal, tax, accounting, investment, medical, or other licensed professional advice. You remain responsible for obtaining qualified professional review when appropriate.


3. Public demonstration

The public “Marcus in Action” presentation is a prerecorded demonstration. It does not open a live consultation room, use conversational minutes, provide individualized advice, or create a consulting relationship. Live access is available only through an eligible paid purchase, active membership, or owner-authorized access.


4. One-time services

The $99 Marcus Interactive Experience includes one private technology experience of up to 15 live conversational-video minutes and one simulated specialist handoff. It must be used within seven calendar days of activation. It is not a consultation, membership, roadmap, implementation service, or recurring purchase. Unused time expires.


The $79 Business Strategy Session is a separately scheduled human consultation with the scope displayed at checkout. It does not include membership access or AI Consultation Minutes and does not renew. Booking, attendance, and rescheduling rules displayed at purchase form part of the order.


5. Memberships and recurring billing

The standard recurring memberships are Business Advisory at $299 per month, Professional Growth at $699 per month, and Executive Command at $1,699 per month. Each membership is billed at the price and interval displayed at checkout until canceled. Before purchase, the checkout must disclose the plan name, recurring amount, billing frequency, included services and usage, material exclusions, and how to cancel. Cancellation stops future renewals and future monthly minute grants. Unless the checkout disclosure or applicable law requires otherwise, eligible access continues through the end of the paid billing period. Enterprise Experience requires a custom proposal, allowance, invoice, or written service agreement and is not sold through an open standard checkout.


6. AI Consultation Minutes and add-ons

Business Advisory includes 30 minutes, Professional Growth includes 90 minutes, and Executive Command includes 240 minutes per billing cycle. Marcus and participating AI specialists use the same combined balance, and a handoff does not restart or duplicate the allowance. Unused included minutes expire at the end of the billing cycle and do not roll over unless a written custom Enterprise agreement expressly states otherwise.


Live time is measured by the platform usage meter and may include active connected time. A stated allowance is a maximum, not a promise that every session will use the entire amount. No paid overage is automatic.


Member-only add-ons are 15 additional minutes for $59, 30 additional minutes for $99, and 60 additional minutes for $179. Each add-on is a one-time purchase, requires an active membership, applies to the current billing cycle, expires at the end of that cycle, and does not renew automatically. BMR does not impose automatic overage charges.


The client is responsible for ending a connected session when finished. Time may continue to be measured while a live room remains connected, subject to platform timeout controls. BMR may provide courtesy balance warnings, but a missing or delayed warning does not create additional minutes.


7. Specialist handoffs and separate authorization

A handoff may be simulated for a technology demonstration or may connect an available virtual specialist during an eligible consulting service. Specialist availability, capability, and response time are not guaranteed. AI Consultation Minutes continue from the same combined balance during an AI-specialist handoff and do not restart.


Before a live handoff, the client will have a reasonable opportunity to review the specialist's role and the consultation information proposed for sharing. The client may approve, decline, clarify, interrupt, end the specialist portion, or return to Marcus. Consent to share consultation information does not authorize implementation, advertising spend, software purchases, account access, filing fees, third-party expenses, or another charge. Each such action requires separate express approval or a written scope.


8. Payments, activation, failed payments, and cancellation

Payments are processed through the checkout provider shown at purchase, such as Stripe or PayPal. The offer name, price, billing frequency, included service, renewal terms, and any checkout-specific conditions are part of the order. You authorize only the charge presented when you complete checkout. Taxes and authorized third-party fees may apply. A payment confirmation is subject to verification. Failed, reversed, disputed, fraudulent, or canceled payments do not create or preserve paid access. BMR may delay activation while a payment is being verified.


After a failed recurring payment, new sessions, minute grants, downloads, or other paid features may be suspended until payment is resolved. Recurring memberships may be canceled through the method disclosed at checkout, in the client account, or through BMR's published contact method. Cancellation stops future renewals but does not retroactively refund the current paid period. Duplicate payment notices do not create duplicate access or minutes.


9. Refunds and rescheduling

Refund or rescheduling eligibility depends on the checkout disclosure, appointment timing, access already activated, minutes consumed, work performed, custom work, and nonrecoverable third-party costs. To the extent permitted by law, used minutes, completed consultations, delivered work, and nonrecoverable outside costs are not refundable. These Terms do not remove rights that cannot legally be waived.


10. Client responsibilities and acceptable use

You agree to provide accurate information, protect account credentials, maintain lawful rights to information or files you submit, review recommendations before implementation, and use the service only for lawful business purposes.


You may not misuse the service, interfere with its security or operation, attempt unauthorized access, scrape or copy protected systems, impersonate others, upload malicious content, violate another person's rights, or use the service to facilitate unlawful, deceptive, abusive, or harmful conduct.


11. Intellectual property, confidentiality, and privacy

BMR's brand, website, software, workflows, prompts, templates, visual designs, and original materials remain the property of BMR or its licensors. Your business information remains yours. A purchase grants only the limited right to use the delivered materials for the purpose stated in your plan or written scope.


BMR uses reasonable care with client information. Information submitted during an AI consultation may be processed by technology providers needed to operate the service. Do not submit passwords, private keys, full payment-card numbers, or information you are not authorized to share.


12. Availability, AI limitations, and liability

Features may be changed, suspended, or discontinued to maintain security, quality, legal compliance, or provider availability. BMR does not guarantee uninterrupted access or a particular business outcome.


The service is provided on an "as available" basis to the extent permitted by law. Business results depend on factors outside BMR's control. To the fullest extent permitted by law, BMR is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Nothing in these terms limits rights or liability that cannot legally be limited.


13. Third-party services, outside costs, and relationship

Payment processors, AI providers, avatar platforms, email services, scheduling services, hosting companies, advertising platforms, government agencies, filing services, and other third parties operate under their own terms and privacy practices. BMR is not responsible for a third party's independent acts, outages, decisions, approvals, prices, or policy changes. Advertising spend, government filing fees, software subscriptions, licenses, domains, professional fees, and other outside costs are not included unless expressly stated in the checkout or written scope. No outside cost will be incurred on the client's behalf without separate authorization.


Purchasing or using the service does not make BMR the client's employee, attorney, accountant, fiduciary, business partner, joint venturer, registered agent, or legal representative. Neither party may bind the other except through an express written authorization.


14. Communications, suspension, and termination

You consent to transactional emails and account notices needed to administer purchases, appointments, access, security, renewals, cancellations, and delivery. Marketing messages include an unsubscribe method.


BMR may suspend or terminate access for nonpayment, fraud, security risk, abusive conduct, unlawful use, material breach of these terms, threats to the service or others, or misuse of client or third-party information. When practical and legally appropriate, BMR may provide notice and an opportunity to cure. Termination does not erase payment obligations or provisions that by their nature survive termination.


15. Governing law, disputes, and complete agreement

These terms are governed by applicable California law without overriding consumer protections that must apply in your location. Before filing a formal claim, the parties agree to provide written notice and a reasonable opportunity for informal resolution, except when urgent legal relief is necessary.


If a provision is found unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision once is not a continuing waiver. You may not transfer an account or agreement without BMR's written consent. These Terms, the Privacy Policy, the accepted checkout disclosure, and any applicable written scope form the agreement for the purchased service. A signed custom agreement controls over conflicting general language for that custom engagement.


16. Contact and updates

Questions, billing notices, cancellation requests, and legal notices may be submitted through the contact method published on BMRVirtualConsulting.com. BMR may update these terms by posting a revised date and version. Material changes apply prospectively unless the client affirmatively agrees or applicable law permits otherwise.
